1. Definitions

• "AI" or "Artificial Intelligence" means the machine learning and generative model technologies used to produce visual content.
• "Client Materials" means any images, text, data, property descriptions, branding assets, or other materials provided by you for use in service delivery.
• "Deliverables" means the AI-generated video content produced by Nixia based on your Client Materials and agreed brief.
• "Order" means a confirmed, paid purchase of a specific Package.
• "Package" means a defined service tier with specific features, inclusions, delivery timelines, and pricing as published on our website.
• "Services" means the AI-generated real estate video production services offered by Nixia.

3. Scope of Services

Nixia provides AI-generated real estate video content including, without limitation: animated or video-enhanced property presentations based on still images; AI-enhanced virtual walk-throughs and staging of property interiors and exteriors; branded video content for digital and print marketing purposes; and other AI-assisted visual content as described in our service Packages.

Services are provided exclusively for lawful commercial and professional real estate marketing purposes. All outputs are produced using generative artificial intelligence and may include visual enhancements, stylised elements, or artistic interpretations. They do not constitute photographic representations of any property.

4. Ordering and Payment

4.1 How to Order

Orders are placed through our website or via agreed communication channels. Each order must include all required Client Materials as specified for the selected Package before production can commence.

4.2 Payment Terms

All fees are payable in full prior to commencement of production, unless otherwise agreed in writing. We accept payment via Stripe and such other methods as indicated at checkout.

4.3 Order Confirmation

Your Order is confirmed upon receipt of full payment. A confirmation will be sent to your registered email address. We reserve the right to decline or cancel any Order at our discretion, in which case a full refund will be issued.

5. Pricing and Taxes

Prices are as stated on our website or in a written quotation provided to you and are exclusive of VAT unless expressly stated otherwise. Where applicable, VAT will be charged at the rate applicable under Maltese and European Union law. We reserve the right to amend our pricing at any time. Any changes will not affect Orders that have already been confirmed and paid.

6. Delivery

Standard delivery is within 24 hours from Order confirmation and receipt of complete Client Materials, seven days a week. Nixia is not liable for delays attributable to incomplete or insufficient Client Materials, technical issues outside our reasonable control, or force majeure events. Deliverables are provided electronically via a secure download link or designated transfer method. Download links may expire after a defined period; it is your responsibility to download and securely store your Deliverables promptly.

7. Revisions

Each Package includes one free revision round covering copy, pacing, or music, delivered within 24 hours. Additional revision rounds beyond the included free round count as one video drawn from your Pack. A full re-do on a different listing or different rooms also counts as a new video from your Pack. Revision requests must be submitted in writing within 7 calendar days of delivery. Deliverables not challenged within this period are deemed accepted in full.

8. Client Obligations and Warranties

By placing an Order, you warrant and represent that you are acting in a business, professional, or commercial capacity; you hold all necessary licences, permissions, and rights to provide and authorise Nixia's use of all Client Materials; all Client Materials comply with applicable laws and do not infringe any intellectual property, privacy, or other rights of any third party; the properties featured are lawfully listed or marketed by you or your client; and any personal data included in Client Materials has been collected and provided to Nixia in compliance with the GDPR and all applicable data protection laws.

9. Intellectual Property Rights

You retain all intellectual property rights in the Client Materials. Upon receipt of full payment, Nixia grants you a perpetual, non-exclusive, worldwide, royalty-free licence to use the Deliverables for lawful real estate marketing and commercial purposes. All rights in Nixia's underlying AI models, software, tools, and methodologies remain the exclusive property of Nixia and are not transferred to you.

Unless you expressly notify Nixia in writing at the time of placing your Order, Nixia reserves the right to use the Deliverables in its portfolio, website, and promotional materials.

10. AI-Generated Content Disclaimer

All Deliverables are produced using generative artificial intelligence. Content is generated from your Client Materials and may incorporate visual enhancements, stylised elements, and artistic interpretations that differ from the physical reality of the property. Deliverables are intended exclusively for marketing and illustrative purposes. They must not be represented or relied upon as exact photographic representations, architectural plans, surveys, or legally binding representations of any property's condition, size, layout, or market value.

Where required by applicable law or professional standards, you must clearly and prominently disclose to prospective buyers or tenants that video content is AI-generated.

11. Prohibited Use

You may not use our Services or Deliverables to misrepresent or materially distort the physical condition of any property; engage in false or misleading advertising; infringe any intellectual property, privacy, or data protection rights; or violate any applicable laws or regulations. Nixia reserves the right to refuse, suspend, or cancel any Order that, in our reasonable opinion, violates these restrictions.

12. Data Protection

The collection, use, and protection of personal data in connection with our Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. Where you provide us with personal data relating to third parties as part of your Client Materials, you represent and warrant that you have a lawful basis to share such data with Nixia under applicable data protection legislation.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Nixia's total aggregate liability for any and all claims shall not exceed the total fees paid by you in respect of the specific Order giving rise to the claim. In no event shall Nixia be liable for loss of profit, revenue, business, goodwill, or any indirect, special, or consequential loss of any kind.

14. Refund Policy

No refund will be issued once production of your Deliverables has commenced. Where you cancel an Order in writing before production has commenced, a full or partial refund may be issued at Nixia's sole discretion, net of any administrative costs incurred. If Deliverables materially fail to conform to the agreed specification through no fault on your part, your primary remedy is the provision of revised Deliverables at no additional cost.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Malta and the applicable laws of the European Union. In the event of a dispute, the parties agree to first attempt to resolve the matter amicably. If unresolved within 30 calendar days, each party submits to the exclusive jurisdiction of the courts of Malta.
